About Stellar Health:
Historically, US Healthcare has relied on a fee-for-service reimbursement system where providers are paid based on the quantity of patient visits and procedures, rather than the quality of health outcomes.
At Stellar Health, we help primary care providers put patient health first. Our platform - a mix of technology, people, and analytics - supports providers at the point of care, delivering real-time patient information, activating practice staff, and empowering providers and care teams with incentives that reward the work they are already doing to keep patients healthy. Using the Stellar App, our web-based, point-of-care tool; practices receive a simple checklist of recommended actions that support the best quality care. Providers and care teams are then paid monthly for each action they complete, and Payors save money in reduced healthcare costs along the way.
Stellar is a US-based Health-tech backed by Top VCs (General Atlantic, Point72, & Primary Venture Partners) with an established product & proven operating model. We’ve shown that we make a real difference for physician practices and their patients.
About the position:
We're growing our legal department and hiring our second team member. Our lead attorney joined less than a year ago as the company's first in-house counsel and has built a lot of the foundation: contract templates, workflows in SpotDraft, intake processes in Jira. But there's more to build, and just as importantly, there's always room to get better and faster.
If you're the kind of person who looks at a working process and immediately sees three ways to make it more efficient, you'll fit right in.
You'll work directly with the lead attorney to support a value-based care technology platform and our risk-bearing entities (ACO, MSO, and IPA), handling first-pass drafting on commercial contracts that range from straightforward to genuinely complex.
Our agreements are diverse. We contract upstream with health plans and ACOs and downstream with physician practices. Our deal structures include SaaS vendor arrangements, aggregator models, physician services agreements, and sophisticated partnership agreements. If you like variety and want to understand how all the pieces fit together, you'll enjoy this work.
This is a highly cross-functional role. You'll partner with teams across the business (especially growth and compliance), and coordinate with health plan customers, provider networks, vendors, and external counsel. You'll talk to a lot of people, and we hope you like that.
What You'll Do
Commercial Contracting
Draft, review, and prepare first-pass redlines for commercial contracts, including health plan service agreements, provider network and participation agreements, vendor contracts, and data use and business associate agreements
Identify and flag key issues, unusual terms, and risk areas for attorney review
Support negotiations by preparing comparison charts, tracking open issues, and maintaining version control across deal threads
Serve as a responsive point of contact for the sales team on routine contract questions and status updates
Legal Operations & Systems
Manage and maintain the contract lifecycle in SpotDraft: intake workflows, template libraries, clause banks, approval routing, renewal tracking, and reporting
Maintain and refine the contract obligations inventory, including key dates, notice requirements, and renewal terms
Support and execute the legal intake process through Jira
Build playbooks, FAQs, and self-service resources that reduce repetitive questions and let the business move faster
Spot inefficiencies and fix them; we're always looking for ways to do things better
Corporate Records & Governance
Maintain corporate records, entity documents, resolutions, and governance materials for the parent company and subsidiaries
Handle corporate housekeeping: annual filings, registered agent coordination, minute book maintenance
Support subsidiary management and entity compliance as needed
Cross-Functional Support
Partner with business teams to gather deal terms and ensure contracts reflect commercial intent
Coordinate with compliance on regulatory research, policy updates, and documentation
Create and maintain training materials that help business teams participate in the contracting process
Monitor regulatory developments relevant to Stellar's contracts and flag what matters
External Counsel Coordination
Manage document flow, scheduling, and information exchange for outside counsel engagements
Track outside counsel spend and flag budget variances
Requirements:
5+ years of paralegal experience with substantial commercial contract drafting
Healthcare industry experience, ideally including payor contracts, provider agreements, or value-based care
Thorough understanding of HIPAA
Working familiarity with AKS, Stark Law, and healthcare data privacy requirements
Ability to work autonomously in a fast-paced environment
Excellent organizational skills and attention to detail
Strong written and verbal communication skills
Paralegal certificate or equivalent training
Nice to Haves:
Experience with SpotDraft CLM
Legal operations experience: You've built or significantly improved contract management systems, intake processes, or legal workflows
A track record of making things more efficient, not just maintaining them
Prior experience in a small in-house legal team (fewer than 5 attorneys)
Familiarity with ACO structures, MSSP, or similar CMS programs
Health plan contracting experience (commercial, Medicare Advantage, or Medicaid managed care)
