As we continue to scale, we are looking for an accomplished corporate securities attorney with public offering and SEC experience to lead our corporate team. You will support our corporate governance, securities compliance and reporting, Board management and ethics and compliance activities. You will be part of the legal leadership team and report to the Chief Legal Officer, with the ability to work remote.
As Associate General Counsel, Corporate, you will play a key role in managing and advising on corporate and securities law matters, including IPO preparation, SEC compliance, corporate governance, and M&A transactions. You will work with senior leadership, finance, and external counsel to ensure our legal and regulatory obligations are met, particularly in the transition from a private to a public company.
What Your Responsibilities Will Be
- Lead a team of three attorneys and legal professionals
- Lead and support all legal aspects of the IPO process, including drafting and reviewing S-1 filings, SEC disclosures, and stock exchange requirements
- Advise executive leadership and the board of directors on corporate governance best practices, compliance and risk management
- Ensure compliance with securities laws, including SEC and stock exchange regulations and required filings post-IPO
- Oversee subsidiary management and global corporate secretarial activities
- Oversee equity administration, including stock equity plans and 10b5-1 plans
- Support M&A activities
- Develop and implement internal policies and training programs to ensure compliance with legal and regulatory standards applicable to public companies
What You'll Need to be Successful
- J.D. degree from an accredited law school; licensed to practice law in the U.S.
- 12+ years of securities law experience with a mix of law firm and in-house legal experience in a technology company
- Significant experience with IPOs, SEC filings, and public company compliance
- Strong background in corporate governance, securities law, and M&A transactions
- You will work with finance, investor relations, public relations and executive teams
- Effective communication with individuals at all organizational levels, including executives and senior management
- Strong curiosity for all aspects of a technology company; constantly learning
- Solution-oriented mentality and the ability to make risk-based judgements
- Strong business acumen and ability to distill legal advice into pragmatic and actionable guidance for business partners

The base pay range(s) below are provided in compliance with state specific laws. Pay ranges may be different in other locations.
Colorado $199,200 - $338,800 annually
Washington $199,200 - $374,400 annually
California $199,200 - $410,000 annually
NYC $220,200 - $410,000 annually
The pay range above is the general base pay range for a successful candidate in the state listed. The successful candidate’s actual salary/wage may be based on various factors, such as geographic location, candidate experience and qualifications, as well as market and business considerations.
This role is eligible for an annual bonus based on individual and company performance, depending on the terms of the applicable plan and the employee’s role.
